Terms & Conditions

These terms apply to quotations, samples and orders for artificial flowers, plants, trees and floral accessories supplied by Yiwu Lan Hui Artificial Flower Co., Ltd. (trading as Ardenly). Placing an order means you accept them. Individual orders are governed by the proforma invoice, which prevails if it differs from this page.

Quotations

Quotations are valid for 30 days from the date we send them, unless the quotation says otherwise.
Prices are quoted for the quantity, specification, packaging and Incoterm stated in the quotation. Changing any of them may change the price.
Prices exclude duties, taxes and any import charges in your country unless the quotation explicitly includes them (for example DDP terms).

Minimum order quantity and samples

Each product lists its minimum order quantity (MOQ) and unit. Mixed containers can combine several items; ask us and we will confirm the combined minimum.
Samples are available before bulk production. Sample cost and freight are quoted per request; we can often credit the sample cost against the bulk order — the quotation will say whether we do.
Customised items (own colour, size, packaging or branding) may need a higher minimum, because the production line has to be set up for them.

Orders and payment

An order is confirmed when you return the signed proforma invoice and we receive the deposit stated on it.
Payment terms are stated on the proforma invoice for each order (typically a deposit on confirmation and the balance before shipment).
Bank charges outside our bank are your responsibility. Goods remain our property until the invoice is paid in full.

Production and delivery

Lead times are counted from confirmation of the order together with the approved sample, artwork and packaging, and are estimates rather than a fixed date.
Delivery terms follow the Incoterm in the quotation (for example EXW, FOB, CIF or DDP). Risk passes to you at the point that term defines.
If you arrange your own freight forwarder, tell us before production so we can pack to their requirements.

Quality, quantity and claims

Factory inspection is carried out on every batch before packing, and we can send inspection photos on request.
Please check the goods when they arrive. Report short or damaged cartons to the carrier immediately and tell us within 7 days of receipt with photos and the carton numbers, so we can investigate with production and the carrier.
Artificial flowers are hand-assembled: small variations in colour between production batches are normal. If a batch must match your previous order exactly, send us the reference and we will match it as closely as the material allows.

Intellectual property

Your brand, logo and artwork stay yours. You confirm you have the right to use anything you send us, and you allow us to use it only to produce your order.
The photos, text and layout of this website are ours and may not be reused without written permission.
We do not produce copies of products that infringe a third party's design rights, and we may decline such a request.

Liability

Our liability for any order is limited to the invoice value of the goods affected. We are not liable for indirect or consequential loss, including lost profit or lost sales, except where the law does not allow that limit.

Governing law and disputes

These terms are governed by the laws of the People's Republic of China. If a dispute arises we will first try to settle it in good faith through direct discussion; if that fails, it is decided by the competent court at our registered place of business in Yiwu, Zhejiang.
